THE PRÓSPERA TERMS OF SERVICE (“TERMS”)

Please read the following Terms carefully before using this website, including any online features, contents, services or programs offered on, by or through this website, such as any text, materials, documents, images, graphics, logos, design, audio, video and any other information, offerings or services provided from or on, uploaded to and/or downloaded from the Website (collectively, the “Website”) by or on behalf of Próspera ZEDE (formerly known as ZEDE of North Bay), a ZEDE special regime under Honduran law (“PZ”), Próspera Trust (formerly known as the ZEDE of NorthBay Trust), a Próspera ZEDE statutory trust for financial transactions of thePZ (“PT”), Próspera Foundation, S.A. (formerly known as North Bay Foundation,S.A.), a Honduran corporation, (“PF”), North Bay GSP, Inc., a Próspera ZEDE for profit corporation (HN) (“GSP”), Honduras Próspera Inc., a Delaware corporation(formerly known as Honduras Próspera LLC) (USA) (“P&O”), Próspera InsuranceAssociation LLC, a Próspera ZEDE limited liability Company (HN) (“PIA”), Próspera Insurance Company LLC, a Próspera ZEDE limited liability company (HN) (“PIC”), and/orNeWay Capital LLC, a Wyoming limited liability Company (USA), and any affiliate thereof, such as Próspera Arbitration Center LLC, a Texas limited liability company (collectively “Counterparty”). As used in these Terms, references to“affiliate” include owners, licensees, assigns, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, advertisers, andincludes (without limitation) all parties involved in creating, producing, licensing, and/or delivering all or any part of this Website. “Us” or “we”refer to each relevant Counterparty.

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in theseTerms, and to abide by and comply with these Terms. In any case, you affirm that you are over the age of 13, as THE WEBSITE IS NOT INTENDED FOR UNEMANCIPATED MINORS THAT ARE UNACCOMPANIED BY HIS OR HER PARENT OR LEGAL GUARDIAN.

At any time, we may, without further notice, make changes to the Website, to these Terms and/or to the services described in these Terms. Your continued use of this Website after such modifications will constitute acknowledgement and acceptance of the modified Terms.

THESE TERMS ARE EFFECTIVE UPON YOUR ACCESS TO THE WEBSITE.

Your Consent and Agreement to This Agreement

By accessing and using the Website, you consent to and agree to be bound by these Próspera Terms of Service(“Agreement”). If we decide to change these Terms, your use of the Website and/or the Online Service following any amendment of these Terms will signify your consent to and acceptance of its revised terms, and such amendment shall be deemed a part of the Agreement which supersedes any conflicting previous provision.

1.         CONVENIENCE AND INFORMATION ONLY; ACCEPTANCE OF TERMS. By merely providing access to theWebsite, no Counterparty warrants or represents that: (a) the Website is accurate, complete, up-to-date or current; (b) any of them have any obligation to update the Website; (c) the Website is free from technical inaccuracies or typographical errors; (d) the Website does not infringe on the intellectual property rights of any third party; (e) that the Website is free from changes caused by a third party; (f) your access to the Website will be free from interruptions, errors, computer viruses or other harmful components; and (g)any information obtained in response to questions asked through, or postings made on, the Website is accurate or complete. Your use of the Website and the services offered therein are subject to Applicable Law. You understand and acknowledge that we cannot promise or guarantee specific results from usingWebsite except as specifically set forth in your Agreement of Coexistence and related side letter, if any.  You understand and agree that temporary interruptions of the Website may occur as normal events that are out of our control. You also understand and agree that we have no control over the third-party networks or service(s) that we may use to provide you with the Website. You agree that all offerings available on theWebsite are provided “AS IS” and that we assume no responsibility for the timeliness, deletion, mis-delivery, or failure to store any user communications or personalization settings except as specifically set forth in your Agreement of Coexistence and related side letter, if any.

2.         SITE USE AND CONTENT. You may view, copy, or print pages from the Website solely for personal, non-commercial purposes or other purposes authorized by yourAgreement of Coexistence and any related side letter with the PZ, if any. You may not otherwise use, modify, copy, print, display, reproduce, distribute, or publish any information from the Website without the express, prior, written consent of Counterparty. You are solely responsible for providing, at your own expense, all equipment necessary to use the services, including a computer and modem; and your own Internet access (including payment of service fees associated with such access).

3.        USER ACCOUNT, PASSWORD, SECURITY AND ELECTRONIC ACCOUNT SERVICES.

(a)       DEFINITIONS. The following definitions govern the terms of this Paragraph 3 and as used elsewhere in these Terms:

             i.        Payment Cutoff Time means 5:00 p.m. Central Standard Time on any Business Day and is the time by which you must transmit Payment Instructions for such Payment Instructions to be considered effective for that particular Business Day.

           ii.        Business Day means every day except Saturdays and Sundays.

         iii.        Linked Accounts means accounts associated with the PZ Property Registry, PZ Entity Registry and thePZ Personal Registry which may be interactive or concurrently accessible by you through the same username and password.

         iv.        Payment Account means your personal or business checking, savings, money market account, or other financial account, such as a credit card, from which payments may be made by you.

           v.        Payee means the relevant Counterparty to which you direct a payment. This will be determined by the particular component of the Online Services you access and posted terms specific to that component.

         vi.        Payment Instructions means the information provided by you for a payment to be made to Payee (i.e.,banking account number, ABA number, payment date, payment amount, and any additional information).

        vii.        Payment Due Date means the Business Day upon which your payment will be received by Payee and yourPayment Account will be debited. Note: Your Payment Due Date may be no later than the “Due Date” set by Counterparty for your most current bill.

      viii.        Pending Payment means a pending payment authorized by you through the Online Service that has not been debited to your Payment Account.

(b)       ONLINE ACCOUNT ACCESS. For certain types of features available through the Website, including the Online Account Access features (the “OnlineService”), we will either have a public access service, whereby any member of the public will have access to the Online Service (“Public Access Service”) or we will require the use of encryption technologies provided for your protection and/or your use of a user identification name (“UserID”) and password after setting up a user account (“User Account”), which will be private (“PrivateAccess Service”). For self-enrollment into the Private Access Service, you must provide Account-specific information to authenticate yourself. In these Terms, as to the Private Access Service, “you” and “your” refer to each person, or, if applicable, the entity who is an owner, signer, or has access to a User Account and each person that uses the Online Service with your permission (“AuthorizedUser”). As to the Private Access Service, you may never use another person’sUser Account and/or UserID with registering yourself as an Authorized User on that User Account. When your Online Service is linked to one or more Accounts, Counterparty may act on the oral, written, or electronic instructions of any authorized signer regarding your service for those Accounts. It is your responsibility to notify Counterparty if an Authorized User should no longer be given access to an Account through the Online Service.

(c)       USER ACCOUNT AND PASSWORD. You are ultimately responsible for protecting your password and User Account information from disclosure to third parties, and you are not permitted to circumvent the use of required encryption technologies. You are required to take reasonable precautions to safeguard your password. You agree to never leave your computer unattended while using theOnline Service and to always exit the Online Service by clicking on “Log Out.”You also agree to immediately notify Counterparty of any unauthorized use of your UserID, password and/or User Account, or any other breach of security by email at ots@prosperazede.hn and legal@prospera.hn. You are solely responsible for any activity that occurs with respect to your User Account and UserID. We do not and cannot guarantee or warrant that information transmitted through the Internet is secure, or that such transmissions are free from delay, error, interception, or interruption.

(d)       RELIANCE BY COUNTERPARTY. You will be bound by and authorize Counterparty to rely on your UserID and password to identify you when you use the OnlineService, and as signature authorization for any payment made using the OnlineService. You acknowledge and agree that you are responsible for all payments you make using the Online Service and for paying any and all late charges or penalties. You will also be bound by and authorize Counterparty to rely upon your acceptance of any posted terms specifically relating to the component of the Online Service accessed (such as the non-refundability of payments, except as may be expressly waived by Counterparty) to the extent such posted terms are consistent with these Terms. You also acknowledge and agree that if you permit another person or persons to use the Online Service or give them your User ID and/or password, you are responsible for any payment that person makes to yourAccount, even if the person exceeds your authorization. You agree that Counterpartymay comply with the Payment Instructions entered by any person using your User ID and Password in accordance with these Terms.

(e)       SECURITY. Counterparty may, but is not obligated, to use several different security methods to protect your Account and User Account information, including:

           i.        You can only access the Online Service with certain browsers that have high security standards.

          ii.        If the Online Service does not recognize your computer, you will be prompted to answer one of your challenge questions to verify your identity.

         iii.        The Online Service will automatically log off if prolonged periods of inactivity occur.

         iv.        Your session will terminate if you navigate away from the Online Service to another website.

(f)  ELECTRONIC COMMUNICATION.

             i.        Email and OnlineMessage Center. When you enroll in the Private Access Service component of theOnline Service, you must designate a primary email address that will be used for receiving electronic communication; it may be the same as your UserID. To the extent that Counterparty maintains an online message center now or in the future, such exchange of communications shall be considered an electronic communication and may be utilized by Counterparty for providing you notices pursuant to these Terms, as required by Applicable Law (as permitted) or generally regarding your Account(s) with Counterparty. Counterparty will NEVER send you email requesting confidential information such as Account numbers, usernames, or passwords and you should NEVER respond to any email requesting such information. If you receive such an email purportedly from Counterparty, do not respond to the email and notify Counterparty by email to ots@prosperazede.hn and legal@prospera.hn.

           ii.        Usage of ElectronicCommunication. By your enrollment in the Private Access Service component of the Online Service, you agree to receive these Terms and any disclosures or notices required by Applicable Law and all other communications electronically to the email address you designate in your account profile. You also agree that Counterparty may respond to any communication you send to Counterparty with an electronic communication, regardless of whether your original communication with Counterparty was an electronic communication. Any electronic communication Counterparty sends to you will be considered received within 7 calendar days of the date such communication is sent by computer servers utilized by Counterparty to the email address you designate in your account profile or posted to Counterparty’s online message center (if applicable). Any electronic communication you send to Counterparty will not be effective until Counterparty has had a reasonable opportunity to act on the electronic communication. You should not rely on electronic communication if you need to communicate with Counterparty immediately and, in no event, should your sole method of communication with Counterparty regarding any emergency be by electronic communication. Counterparty may require you to provide written confirmation of any verbal or electronic notice of alleged error by Counterparty.

(g)       PERMISSIBLE ACTIVITIES. You may perform the following activities with the Online Service as available, subject to posted terms specific to the service, whether you are using the Public Access Service orPrivate Access Service component of the Online Service, and your residency status, as determined by the PZ or as delegated to the GSP:

           i.        Access Services. You may access the available services related to the PZ Entity Registry, PersonalRegistry, and Property Registry, as well as Próspera Arbitration Center andGSP.

          ii.        Account Inquiry. You may retrieve Account information (such as a balance due).

         iii.        Alerts. You may set alert messages for certain circumstances.

         iv.        Review Statements. You may view electronic version of one or more Account statements. Online statements should not be substituted for, nor represented as, your official statement.

           v.        Payments. You may make payments to your Account from your Payment Account. Payments may only be made from checking, money market, or savings accounts and must be made in accordance with the terms of these Terms and any other applicable account agreements.

(h)       PAYMENTS. You authorize Counterparty to debit your Payment Account and remit funds on your behalf to the Payee. When Counterparty receives a Payment Instruction, you have authorized Counterparty to debit your PaymentAccount and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Payment Due Date as designated by you. You also authorize Counterparty to credit your Payment Account for payments returned to you by Counterparty.

(i)        DISCLOSURE OF ACCOUNT INFORMATION. Counterparty may disclose information to third parties about you, including email addresses, or yourAccount, in the situations described below and as otherwise set forth in Counterparty’s Privacy Policy. We will disclose such information:

          i.        where disclosure is necessary for completing payments, or to resolve a problem related to a payment;

          ii.        to verify the condition and existence of your Account for a third party, such as a credit bureau or merchant;

         iii.        to persons authorized by law in the course of their official duties, including but not limited to persons authorized by the Applicable Law;

         iv.        to comply with a government agency, final arbitral award, or court order, such as a lawful subpoena;

         v.        to Counterparty employees, auditors, service providers, attorneys, or collection agents in the course of their duties; or

         vi.        if you give Counterparty written permission (including by email).

(k)       INSUFFICIENT FUNDS TO COMPLETE PAYMENT. You must have sufficient available funds or credit in your Payment Account on the Payment DueDate. If your Payment Account has insufficient funds, the Payment will not be completed. Should a Payment fail because of insufficient funds in your PaymentAccount, an amount equal to Counterparty’s Returned Payment Fee then in effect will be applied to your Account. If, for any reason, your Payment Account company declines or otherwise refuses to pay the amount owed for the offerings or services you have purchased, you agree that we may, at our option, suspend or terminate your access and use of the Website and may require you to pay any overdue amounts incurred (including any third-party chargeback fees or penalties) by other means acceptable to us. Additionally, such nonpayment may also constitute a material breach of contract under your Agreement of Coexistence, if any. In the event legal action is necessary to collect on balances due, you agree to reimburse us for all expenses incurred to recover sums due, including attorney fees and other legal expenses.

(l)        COUNTERPARTY’S LIABILITY FOR FAILURE TO COMPLETE PAYMENTS. If Counterparty debits your Payment Account incorrectly, Counterparty will be responsible for returning the improperly debited funds to your Payment Account.However, Counterparty will not be liable in the following situations:

             i.        You did not properly follow the provisions of these Terms, the online instructions for the OnlineService, or other instructions for making a payment;

           ii.        Through no fault of Counterparty’s, you have insufficient funds in your Payment Account to make a payment;

         iii.        Your computer, the software, phone lines, Counterparty’s computer system or the Online Service were not working properly or were temporarily unavailable, and this problem was or reasonably should have been apparent to you when you attempted the payment or you were advised by the Online Service of the malfunction before you executed the payment;

         iv.        Circumstances beyond our control prevented the payment, despite reasonable precautions that we have taken, including telecommunications outages, fires, floods, or other natural disasters;

           v.        Counterparty has reasonable basis to believe that unauthorized use of your UserID, Password, orUser Account or Account has occurred or may be occurring;

         vi.        Counterparty or you have terminated your Online Service or closed your Account to which the UserID was linked;

        vii.        You have supplied your login information to another party; or

      viii.        For any other reason specified in these Terms or any other agreement Counterparty has with you.

(m)      ACCURATE INFORMATION. In creating and using your User Account on the Website, you agree to: (i) provide true, accurate, current, and complete information about yourself on any registration form required on the Website(such information being the “Registration Data”); and (ii) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Counterparty has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Counterparty has the right to suspend or terminate your User Account and refuse any and all current or future use of your User Account.

(n)       TERMINATION OF ACCOUNT. Subject to the terms of any applicableAgreement of Coexistence and related side letter, Counterparty reserves the right to terminate your use of the Online Service for any reason including inactivity and at any time without notice to you. You have the right to terminate your use of the Online Service by writing to Counterparty at legal@prospera.hn and ots@prosperazede.hn. Any termination of your use of the Online Service, whether initiated by you orby Counterparty, will not affect any of your or Counterparty’s rights and obligations under these Terms that have arisen before the effective date of such termination. Your termination of Online Service will not effectuate a termination of any applicable Agreement of Coexistence or related side letter.

(o)      ERRORS OR QUESTIONS ABOUT PAYMENTS. In case of errors or questions about Payments, you should notify Counterparty at once at by email at ots@prosperazede.hn and legal@prospera.hn or through the online message center (if applicable).

4. WEBSITE CONDUCT, POSTING POLICIES & THIRD-PARTY WEBSITES

(a)       USER-CREATED CONTENT GUIDELINES. Your use of the Website, including the PZ Blog, if any, is subject to all Applicable Laws, and you are solely responsible for any comments or posts you leave on the Website or the Blog, if any. By posting or contributing information on or to the Website, or by otherwise using any communications service, message board, newsgroup, or other interactive service available on the Website, you agree that you will not post comments, messages, links, code, or other information that:

i.    are unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, tortious, invasive of another’s privacy, or includes graphic descriptions of sexual or violent content;

ii.    victimize, harass, degrade, or intimidate an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

iii.  infringe on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;

iv.  consist of unsolicited advertising, junk, or bulk email (also known as “spam”), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;

v.    contain any form of malicious code, files, or programs that are designed or intended to disrupt, damage, or limit the functionality of any software, hardware, or telecommunications equipment or otherwise causes damage, or allows you to obtain unauthorized access to any data or other information of any third party;

vi.  breach the security of, compromises or otherwise allows access to secured, protected or inaccessible areas of this Website, or attempts to gain access to other network or server via your account on this Website;

vii. impersonate any person or entity, including any of our employees or representatives.

(b)       NO ENDORSEMENT. Counterparty neither endorses nor assumes any liability for any material uploaded or submitted by users on or through any part of the Website. Although we do not accept responsibility for pre-screening, policing, or monitoring comments posted on or submitted to the Website, we and our agents reserve the right to refuse the receipt of information or remove any and all postings that we feel do not comply with these Terms and any other rules of user conduct for our Website, or are otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such postings or refusing such information.

(c)       THIRD-PARTY WEBSITES AND INFORMATION. This Website may redirect or link to other websites on the Internet, or may otherwise include references to information, products or services made available by unaffiliated third parties. While we make every effort to work with trusted, reputable providers, from time to time such sites may contain information, material, or policies that some may find inappropriate or personally objectionable. You understand that we are not responsible for the accuracy, completeness, decency, or legality of content hosted by third party websites, nor are we responsible for errors or omissions in any references made on those websites. The inclusion of such a link or reference is provided merely as a convenience and does not imply endorsement of, or association with the Website or party by us, or any warranty of any kind, either express or implied.

(d)       PROMOTIONS. From time to time, this Website may include advertisements offered by third parties.You may enter into correspondence with or participate in promotions of the advertisers showing their products on this site. Any such correspondence or promotions, including the delivery of and the payment for goods and services by those third parties, and any other terms, conditions, warranties, or representations associated therewith, are solely between you and the advertiser.We assume no liability, obligation, or responsibility for any part of any such correspondence or promotion.

5. INTELLECTUALPROPERTY

(a)       CONTENT.For purposes of these Terms, “content” is defined as any information, communications, software, published works, photos, video, graphics, music, sounds, or other material that can be viewed, used, or accessed by users on ourWebsite and is owned or licensed by one or all of Counterparty.

(b)       OWNERSHIP OF CONTENT.By accepting these Terms, you agree that all content presented to you on this Website is protected by any and all intellectual property and/or other proprietary rights available within the PZ and protected by treaties governing the Republic of Honduras, and is the sole original or licensed property of one or all of Counterparty. Without limitation, the following are registered trademarks, trademarks, or service marks of Counterpart: Próspera, Honduras Próspera, ePróspera, ZEDE of North Bay, and NeWay. All custom graphics, icons, logos, and service names are registered trademarks, trademarks, or service marks of one or all of Counterparty by ownership or license. Nothing in these Terms grants you any right to use any trademark, service mark, logo, and/or the name of any of Counterparty. Certain of the ideas, software and processes incorporated into the offerings and services available on this Website are protected by patent applications pending in the United States and elsewhere, and we may prepare and file additional patent applications in selected foreign jurisdictions.

(c)       LIMITATIONS ON USE OF CONTENT. Except for a single copy made for personal use, you may not copy, reproduce, modify, republish, upload, post, transmit, or distribute any content from this Website in any form or by any means whatsoever without prior written permission from us. Any unauthorized use of Website content violates our intellectual property interests and could result in criminal or civil penalties.

(d)       NO WARRANTY FOR THIRD-PARTY INFRINGEMENT. Neither we or our Affiliates warrant or represent that your use of materials displayed on, or obtained through, thisWebsite will not infringe the rights of third parties.

6. CONTENT YOU CREATE OR PROVIDE.

          (a)       YOUR INTELLECTUAL PROPERTY RIGHTS. Subject to ourPrivacy Policy, any communication or material that you transmit to this Website or to any Counterparty, whether by email or other means, for any reason, will be treated as non-confidential and non-proprietary user content (“UserContent”). While you retain all rights to the User Content, you grant each Counterparty (including our employees and Affiliates), a non-exclusive, paid-up, perpetual, and worldwide right to copy, distribute, display, publish, translate, adapt, modify, and otherwise use the User Content for any purpose whatsoever, regardless of the form or medium in which it is used.

                     i.        We respect the intellectual property rights of others, and we ask you to do the same. In instances where we are notified of alleged infringing Counterparty or User Content through ourDesignated Agent, a decision may be made to remove access or disable access to such materials, in compliance with Applicable Law. We may also make a good faith attempt to contact the person who submitted the affected material so that they may make a counter-notification.

                    ii.        If you believe that you or someone else’s copyright has been infringed by Counterparty or User Content provided on this Website, you (or the owner or rights holder, collectively, “Rights Holder”) should send notification to our Designated Agent immediately.Prior to sending us notice, the Rights Holder may wish to consult a lawyer to determine their rights and legal obligations under Applicable Law. Nothing here or anywhere on this Website is intended as a substitute for qualified legal advice. To file a Notice of Infringing Material, we ask that the Rights Holder provide the following information:

(1)  Reasonably sufficient details about the nature of the copyrighted work in question, or, in the case of multiple alleged infringements, a representative list of such works. This should include, title(s), author(s), any Copyright Registration number(s), URL(s) etc.;

                  iv.        You also acknowledge and agree that upon receipt of a notice of a claim of copyright infringement, we may temporarily or permanently remove the identified materials from our site without liability to you or any other party.

(b)       CONFIDENTIAL INFORMATION. As stated above, all communications sent by you to us will be treated as non-confidential and non-proprietary (subject to our Privacy Policy). Please do not submit confidential or proprietary information to us (including patentable ideas, new content suggestions or business proposals) unless we have mutually agreed in writing otherwise, such as in your applicable Agreement of Coexistence, if any. Those who choose to access this Website from other locations do so on their own initiative and at their own risk. If you choose to access this Website from outside the PZ, you are responsible for compliance with local laws in your jurisdiction, including but not limited to, the taxation of products purchased over the Internet. Any offer for any product, service, and/or information made in connection with this Website is void where prohibited. Access to the Website from jurisdictions where such access is illegal is prohibited. You further agree to comply with all applicable laws regarding the transmission of technical data exported from thePZ and the jurisdiction in which you reside (if different from the PZ).

(b)      APPLICABLE LAW. This Website (excluding any Third Party websites) is controlled by the PZ and GSP from the Island of Roatan, Bay Islands, Republic of Honduras, and the law promulgated by and applicable in the PZ shall be controlling, such as the Roatan Common Law Code, §§ 2-3-4-0-1-0-1001 through2-3-4-0-5-0-5004, without regard to the conflicts of laws principles thereof, all of which are saved from repeal and guaranteed as controlling law under the mandate of Article 96 of the Constitution of theRepublic of Honduras, Article 10.4 of CAFTA-DR, and Article 16.4 of theAgreement for the Promotion and Reciprocal Protection of Investments betweenHonduras and Kuwait, as well as a certain amended legal stability agreement approved by Resolutions §§5-1-130-0-0-0-1, 5-1-160-0-0-0-1, subject to the caveat that if legal or political instability precludes direct application ofPZ Law, then you shall be contractually bound to be governed by the rules published at https://pzgps.hn to the furthest extent permitted by Delaware(U.S.A.) law as if you were operating in Delaware (U.S.A.) (all of the foregoing shall be deemed the “Applicable Law”). You agree and hereby submit to the exclusive personal jurisdiction and venue of the PZ default Arbitration ServiceProvider as provided by the Próspera Arbitration Statute 2019, §§2-1-37-1-0-0-1through 2-1-37-8-0-0-64, as amended from time to time. The Website and theOnline Service shall be deemed a passive website and service that does not give rise to personal jurisdiction over any Counterparty outside of the PZ. For purposes of this Agreement, PZ, GSP, and P&O are not Regulated IndustryPersons under the Próspera Industrial Regulation Statute, §2-2-28-0-0-0-1; however, PIC, PIA, PF, and PT are Regulated Industry Persons operating in theFinance and Insurance Industry. Further, you may be a Regulated Industry Person if you are operating within Próspera ZEDE in such capacity. PIC, PIA, and PF have not made a specific regulatory election for their operations in the Finance andInsurance Industry and are therefore deemed to be operating in such capacity under Roatán Common Law Code standards. PT has made an election to operate in the Finance and Insurance Industry under the law of the State of Arizona (USA)governing Escrow Agents pursuant to ARS §6-801, and Arizona Supreme Court Rule43, which governs trust accounts managed by Arizona-licensed attorneys. The parties to this Agreement reserve the right to later amend their respective regulatory elections pursuant to Próspera Industrial Regulation Statute,§§2-2-28-0-0-0-3, 4, at any time in their sole discretion, upon notice to the GSP, which notice shall be construed as a part of this Agreement.

(c)       NO RESALE RIGHT. You agree not to sell, resell, reproduce, duplicate, distribute, copy, or use for any commercial purposes any portion of thisWebsite, or use of or access to this Website or services, products or offerings provided through this Website, beyond the limited rights granted to you under these Terms.

(d)       FORCE MAJEURE. In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products, services and offerings available through our Website arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to: labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

(e)       SAVINGS CLAUSE. 14.       NON-TRANSFERABILITY OF USER ACCOUNT. User Accounts and UserIDs are non-transferable, and all users are obligated to take preventative measures to prohibit unauthorized users from accessing the Website with his or her UserID and password. Tal y como se utiliza en estos Términos, las referencias a “afiliado” incluyen a los propietarios, licenciatarios, cesionarios, subsidiarias, compañías afiliadas, funcionarios, directores, proveedores, socios, patrocinadores, anunciantes, e incluye (sin limitación) todas las partes implicadas en la creación, producción, concesión de licencias y/o entrega de todo o parte de este Sitio Web. “Nosotros” o “nos” se refiere a cada contraparte relevante.

Usted afirma que tiene más de 18 años de edad, o es un menor emancipado, o posee el consentimiento de sus padres o tutores legales, y es plenamente capaz y competente de celebrar los términos, condiciones, obligaciones, afirmaciones, representaciones y garantías establecidas en estos Términos, y de acatar y cumplir con estos Términos. SU ÚNICO RECURSO POR LA INSATISFACCIÓN CON ESTE SITIO WEB O ESTOS TÉRMINOS ES DEJAR DE UTILIZAR EL SITIO WEB Y LOS PRODUCTOS, SERVICIOS U OFERTAS DISPONIBLES EN ÉL.

ESTOS TÉRMINOS TIENEN VIGENCIA UNA VEZ QUE HAGA CLIC EN EL BOTÓN ‘ACEPTO’.

Su Consentimiento y Aceptación de Este Acuerdo

Al acceder y utilizar el Sitio Web, usted consiente y acepta estar obligado por estos Términos de Servicio de Próspera. Si nosotros decidimos cambiar estos Términos, su uso del Sitio Web y/o el Servicio En Línea después de cualquier enmienda de estos Términos significará su consentimiento y aceptación de sus términos revisados.

1. CONVENIENCIA E INFORMACIÓN SOLAMENTE; ACEPTACIÓN DE LOS TÉRMINOS. Por el simple hecho de proporcionar acceso al Sitio Web, ninguna Contraparte garantiza o representa que: (a) el Sitio Web es preciso, completo, actualizado o vigente; (b) cualquiera de ellos tiene la obligación de actualizar el Sitio Web; (c) el Sitio Web está libre de inexactitudes técnicas o errores tipográficos; (d) el Sitio Web no infringe los derechos de propiedad intelectual de ningún tercero; (e) el Sitio Web está libre de cambios causados por un tercero; (f) su acceso al Sitio Web estará libre de interrupciones, errores, virus informáticos u otros componentes dañinos; y (g) que cualquier información obtenida en respuesta a las preguntas formuladas a través del Sitio Web o a las publicaciones realizadas en él es precisa o completa. El uso del Sitio Web por su parte, y de los servicios que se ofrecen en él están sujetos a la ley de la PZ (“Ley Aplicable”). Usted entiende y reconoce que no podemos prometer o garantizar resultados específicos por el uso del Sitio Web, excepto como se establece específicamente en su Contrato de Coexistencia y en la carta complementaria relacionada, si la hubiera. Usted entiende y acepta que las interrupciones temporales del Sitio Web pueden ocurrir como eventos normales que están fuera de nuestro control. Usted también entiende y acepta que no tenemos control sobre las redes o servicios de terceros que podemos utilizar para proporcionarle el Sitio Web. Usted acepta que todas las ofertas disponibles en el Sitio Web se proporcionan “TAL CUAL” y que no asumimos ninguna responsabilidad por la puntualidad, la eliminación, la entrega errónea o la falta de almacenamiento de cualquiera de las comunicaciones del usuario o la configuración de personalización, excepto en los casos establecidos específicamente en su Contrato de Coexistencia y la carta complementaria relacionada, si la hubiera.

2. USO Y CONTENIDO DEL SITIO. Usted puede ver, copiar o imprimir páginas del Sitio Web únicamente para fines personales, no comerciales u otros fines autorizados por su Contrato de Coexistencia y cualquier carta complementaria relacionada con la PZ, si la hubiera. Usted no podrá de otra manera utilizar, modificar, copiar, imprimir, mostrar, reproducir, distribuir o publicar cualquier información del Sitio Web sin el consentimiento expreso, previo y por escrito de la Contraparte. Usted es únicamente responsable de proporcionar, a su cargo, todo el equipo necesario para utilizar los servicios, incluyendo una computadora y un módem; y su propio acceso a Internet (incluyendo el pago de las tarifas de servicio asociadas con dicho acceso).

3. SERVICIOS DE CUENTA DE USUARIO, CONTRASEÑA, SEGURIDAD Y CUENTA ELECTRÓNICA.

(a) DEFINICIONES. Las siguientes definiciones rigen los términos del presente Párrafo 3 y los utilizados en otras partes de estos Términos:

  1. La Hora Límite de Pago significa las 5:00 p.m. Hora Estándar del Centro de cualquier día hábil y es la hora en la que debe transmitir las Instrucciones de Pago para que éstas se consideren efectivas para ese Día Hábil en particular.
  2. Día Hábil significa todos los días excepto los sábados y los domingos.
  3. Las Cuentas Vinculadas significa las cuentas asociadas al Registro de la Propiedad de la PZ, al Registro de Entidades de la PZ y al Registro Personal de la PZ, que pueden ser interactivas o accesibles simultáneamente por usted a través del mismo nombre de usuario y contraseña.
  4. Cuenta de Pago significa su cuenta personal o de negocios de cheques, ahorros, cuenta de mercado monetario u otra cuenta financiera, como una tarjeta de crédito, desde la cual usted puede realizar los pagos.
  5. Beneficiario significa la Contraparte pertinente a la que usted dirige un pago. Esto será determinado por el componente particular de los Servicios En Línea a los que acceda y los términos publicados específicos de ese componente.
  6. Instrucciones de Pago significa la información proporcionada por usted para que se haga un pago al Beneficiario (es decir, número de cuenta bancaria, número ABA, fecha de pago, importe del pago y cualquier información adicional).
  7. Fecha de Vencimiento del Pago significa el Día Hábil en el que su pago será recibido por el Beneficiario y su Cuenta de Pago será debitada. Nota: Su Fecha de Vencimiento de Pago no puede ser posterior a la “Fecha de Vencimiento” establecida por la Contraparte para su factura más reciente.
  8. Pago Pendiente significa un pago pendiente autorizado por usted a través del Servicio En Línea que no ha sido debitado de su Cuenta de Pago.

b) ACCESO A CUENTA EN LÍNEA. Para ciertos tipos de funciones disponibles a través del Sitio Web, incluyendo las funciones de Acceso a la Cuenta En Línea (el “Servicio En Línea”), tendremos ya sea un servicio de acceso público, mediante el cual cualquier miembro del público tendrá acceso al Servicio En Línea (“Servicio de Acceso Público”) o requeriremos el uso de tecnologías de codificación provistas para su protección y/o el uso de un nombre de identificación de usuario (“Identificación de Usuario”) y una contraseña después de configurar una cuenta de usuario (“Cuenta de Usuario”), la cual será privada (“Servicio de Acceso Privado”). Para el auto registro en el Servicio de Acceso Privado, usted debe proporcionar información específica de la Cuenta para autenticarse. En estos Términos, en lo que respecta al Servicio de Acceso Privado, “usted” y “su” se refieren a cada persona o, si corresponde, a la entidad que es propietaria, firmante o tiene acceso sin restricciones a una Cuenta de Usuario y a cada persona que utiliza el Servicio En Línea con su permiso (“Usuario Autorizado”). En cuanto al Servicio de Acceso Privado, usted nunca podrá utilizar la Cuenta de Usuario y/o la Identificación de Usuario de otra persona al registrarse como un Usuario Autorizado en esa Cuenta de Usuario. Cuando su Servicio En Línea esté vinculado a una o más Cuentas, la Contraparte podrá actuar según las instrucciones orales, escritas o electrónicas de cualquier firmante autorizado con respecto a su servicio para esas Cuentas. Es su responsabilidad notificar a la Contraparte si un Usuario Autorizado no debe seguir teniendo acceso a una Cuenta a través del Servicio En Línea.

c) CUENTA DE USUARIO Y CONTRASEÑA. Usted es el responsable en última instancia de proteger su contraseña y la información de su Cuenta de Usuario de la divulgación a terceros, y no se le permite eludir el uso de las tecnologías de codificación requeridas. Se le exige que tome precauciones razonables para salvaguardar su contraseña. Usted se compromete a no dejar nunca su computadora desatendida mientras utiliza el Servicio En Línea y a salir siempre del Servicio En Línea haciendo clic en “Cerrar Sesión”. Usted también se compromete a notificar inmediatamente a la Contraparte de cualquier uso no autorizado de su Identificación de Usuario, contraseña y/o Cuenta de Usuario, o cualquier otra violación de la seguridad por correo electrónico a ots@prosperazede.hn y legal@prospera.hn. Usted es el único responsable de cualquier actividad que ocurra con respecto a su Cuenta de Usuario y su Identificación de Usuario. Nosotros no garantizamos ni podemos garantizar que la información transmitida a través de Internet sea segura, o que dichas transmisiones estén libres de demoras, errores, intercepción o interrupción.

d) CONFIANZA POR PARTE DE LA CONTRAPARTE. Usted estará obligado y autorizará a la Contraparte a confiar en su Identificación de Usuario y contraseña para identificarlo cuando utilice el Servicio En Línea, y como autorización de la firma para cualquier pago realizado a través del Servicio En Línea. Usted reconoce y acepta que es responsable de todos los pagos que realice utilizando el Servicio En Línea y de pagar todos y cada uno de los cargos o sanciones por mora. Usted también estará obligado y autoriza a la Contraparte a basarse en su aceptación de cualquier término publicado específicamente relacionado con el componente del Servicio en línea al que se accede (como la no devolución de los pagos, salvo que la Contraparte renuncie expresamente a ello) en la medida en que dichos términos publicados sean coherentes con estas Términos. Usted también reconoce y acepta que si usted permite que otra persona o personas utilicen el Servicio En Línea o les da su Identificación de Usuario y/o contraseña, usted es responsable por cualquier pago que esa persona haga a su Cuenta, incluso si la persona excede su autorización. Usted acepta que la Contraparte puede cumplir con las Instrucciones de Pago ingresadas por cualquier persona que utilice su Identificación de Usuario y contraseña, de acuerdo con estos Términos sujeto a los términos establecidos más detalladamente a continuación en la sección de Pagos No Autorizados de estos Términos.

(e) SEGURIDAD. La Contraparte puede, pero no está obligada, a utilizar varios métodos de seguridad diferentes para proteger su Cuenta y la información de su Cuenta de Usuario, entre ellos:

  1. Usted sólo puede acceder al Servicio En Línea con ciertos navegadores que tienen altos estándares de seguridad.
  2. Si el Servicio En Línea no reconoce su computadora, se le pedirá que responda a una de sus preguntas de seguridad para verificar su identidad.
  3. El Servicio En Línea cerrará la sesión automáticamente si se producen períodos prolongados de inactividad.
  4. Su sesión terminará si navega fuera del Servicio En Línea a otro sitio web.

f) COMUNICACIÓN ELECTRÓNICA.

  1. Correo Electrónico y Centro de Mensajes en Línea. Cuando se inscribe en el componente de Servicio de Acceso Privado del Servicio En Línea, usted debe designar una dirección de correo electrónico principal que se utilizará para recibir comunicaciones electrónicas; puede ser la misma que su Identificación de Usuario. En la medida en que la Contraparte mantenga un centro de mensajes en línea ahora o en el futuro, dicho intercambio de comunicaciones se deberá considerar una comunicación electrónica y podrá ser utilizado por la Contraparte para proporcionarle notificaciones de acuerdo con estos Términos, según lo requerido por la Ley Aplicable (según lo permitido) o en general con respecto a su(s) Cuenta(s) con la Contraparte. La Contraparte NUNCA le enviará un correo electrónico solicitando información confidencial como números de Cuenta, nombres de usuario o contraseñas y usted NUNCA deberá responder a ningún correo electrónico que solicite dicha información. Si recibe un correo electrónico que supuestamente proviene de la Contraparte, no responda al mismo y notifique a la Contraparte por correo electrónico a ots@prosperazede.hn y legal@prospera.hn.
  2. Uso de la Comunicación Electrónica. Al inscribirse en el componente de Servicio de Acceso Privado del Servicio En Línea, usted acepta recibir estos Términos y cualquier divulgación o notificación requerida por la Ley Aplicable y todas las demás comunicaciones electrónicamente a la dirección de correo electrónico que usted designe en el perfil de su cuenta y, si es aplicable o diferente, su Identificación de Residente. También acepta que la Contraparte podrá responder a cualquier comunicación que usted envíe a la Contraparte con una comunicación electrónica, independientemente de que su comunicación original con la Contraparte haya sido una comunicación electrónica. Cualquier comunicación electrónica que la Contraparte le envíe se considerará recibida en un plazo de 7 días calendario a partir de la fecha en que dicha comunicación sea enviada por los servidores informáticos utilizados por la Contraparte a la dirección de correo electrónico que usted designe en el perfil de su cuenta o se publique en el centro de mensajes en línea de la Contraparte (si corresponde). Cualquier comunicación electrónica que usted envíe a la Contraparte no será efectiva hasta que la Contraparte haya tenido una oportunidad razonable de actuar en relación con la comunicación electrónica. Usted no deberá confiar en la comunicación electrónica si necesita comunicarse con la Contraparte inmediatamente y, en ningún caso, su único método de comunicación con la Contraparte en relación con cualquier emergencia deberá ser mediante comunicación electrónica. La Contraparte podrá solicitarle que proporcione una confirmación por escrito de cualquier notificación verbal o electrónica de un supuesto error de la Contraparte.

g) ACTIVIDADES PERMISIBLES. Usted puede realizar las siguientes actividades con el Servicio En Línea según esté disponible, sujeto a los términos publicados específicos del servicio, ya sea que esté utilizando el Servicio de Acceso Público o el componente de Servicio de Acceso Privado del Servicio En Línea, y su estado de residencia, según lo determine la PZ o según se delegue al GSP:

  1. Servicios de Acceso. Usted puede acceder a los servicios disponibles relacionados con el Registro de Entidades de la PZ, el Registro Personal y el Registro de la Propiedad, así como el Centro de Arbitraje de Próspera y el GSP.
  2. Investigación de la Cuenta. Usted puede recuperar la información de la cuenta (tal como el saldo adeudado).
  3. Alertas. Usted puede establecer mensajes de alerta para ciertas circunstancias.
  4. Revisión de Estados. Usted puede visualizar la versión electrónica de uno o más estados de Cuenta. Los estados en línea no deben ser sustituidos ni representados como su estado oficial.
  5. Pagos. Usted puede realizar pagos a su Cuenta desde su Cuenta de Pago. Los pagos sólo pueden realizarse desde cuentas de cheques, de mercado monetario o de ahorro y deben hacerse de acuerdo con los términos de estos Términos y cualquier otro acuerdo de cuenta aplicable.

(h) PAGOS. Usted autoriza a la Contraparte a debitar de su Cuenta de Pago y remitir los fondos en su nombre al Beneficiario. Cuando la Contraparte reciba una instrucción de pago, usted ha autorizado a la Contraparte a debitar de su Cuenta de Pago y remitir los fondos en su nombre para que los fondos lleguen lo más cercano posible de la Fecha de Vencimiento del Pago, según lo designado por usted. Usted también autoriza a la Contraparte a acreditar en su Cuenta de Pago los pagos devueltos a su Contraparte.

(i) DIVULGACIÓN DE INFORMACIÓN DE LA CUENTA. La Contraparte puede divulgar información a terceros sobre usted, incluyendo direcciones de correo electrónico, o su Cuenta, en las situaciones descritas a continuación y según lo establecido en la Política de Privacidad de la Contraparte. Nosotros divulgaremos dicha información:

  1. cuando la divulgación es necesaria para completar los pagos, o para resolver un problema relacionado con un pago;
  2. para verificar la condición y la existencia de su Cuenta para un tercero, como una central de riesgos o un comerciante;
  3. a las personas autorizadas por la ley en el desempeño de sus funciones oficiales, incluyendo pero sin limitarse a las personas autorizadas por la Ley Aplicable;
  4. a un organismo de información al consumidor, según se define en la Ley Aplicable;
  5. para cumplir con una agencia gubernamental, laudo arbitral final, o una orden judicial, como una citación legal;
  6. a los empleados de la Contraparte, auditores, proveedores de servicios, abogados o agentes de cobro en el desempeño de sus funciones; o
  7. si usted le otorga a la Contraparte un permiso escrito (incluso por correo electrónico).

(k) FONDOS INSUFICIENTES PARA COMPLETAR EL PAGO. Usted Debe tener suficientes fondos disponibles o crédito en su Cuenta de Pago en la Fecha de Vencimiento del Pago. Si su Cuenta de Pago no tiene fondos suficientes, el Pago no se completará. Si un Pago falla debido a fondos insuficientes en su Cuenta de Pago, se aplicará a su Cuenta una cantidad igual a la Comisión por Devolución de Pago de la Contraparte que esté vigente en ese momento. Si, por cualquier motivo, la empresa de su Cuenta de Pago rechaza o se niega a pagar la cantidad adeudada por las ofertas o servicios que usted ha comprado, usted acepta que podemos, a nuestra elección, suspender o cancelar su acceso y uso del Sitio Web y podemos exigirle que pague cualquier cantidad adeudada en la que haya incurrido (incluidas las comisiones o sanciones por devolución de terceros) por otros medios aceptables para nosotros. Además, dicho impago también puede constituir un incumplimiento material del contrato en virtud de su Contrato de Coexistencia, si lo hubiera. En caso de que sea necesario emprender acciones legales para cobrar los saldos adeudados, usted acepta reembolsarnos todos los gastos incurridos para recuperar las sumas adeudadas, incluidos los honorarios de los abogados y otros gastos legales.

(l) LA RESPONSABILIDAD DE LA CONTRAPARTE POR NO COMPLETAR LOS PAGOS. Si la Contraparte debita su Cuenta de Pago incorrectamente, la Contraparte será responsable de devolver los fondos debitados incorrectamente a su Cuenta de Pago. Sin embargo, la Contraparte no será responsable en las siguientes situaciones:

  1. Usted no ha seguido correctamente las disposiciones de estos Términos, las instrucciones en línea del Servicio En Línea u otras instrucciones para realizar un pago;
  2. Sin ser culpa de la Contraparte, usted no tiene fondos suficientes en su Cuenta de Pago para hacer un pago;
  3. Su computadora, el software, las líneas telefónicas, el sistema informático de la Contraparte o el Servicio En Línea no funcionaban correctamente o no estaban disponibles temporalmente, y este problema era o debería haber sido razonablemente evidente para usted cuando intentó el pago o usted fue notificado por el Servicio En Línea del mal funcionamiento antes de que usted ejecutara el pago;
  4. Circunstancias ajenas a nuestra voluntad impidieron el pago, a pesar de las precauciones razonables que hemos tomado, incluyendo cortes en las telecomunicaciones, incendios, inundaciones u otros desastres naturales;
  5. La Contraparte tiene bases razonables para creer que el uso no autorizado de su Identificación de Usuario, Contraseña o Cuenta de Usuario o Cuenta ha ocurrido o puede estar ocurriendo;
  6. La Contraparte o usted ha terminado su Servicio En Línea o ha cerrado su Cuenta a la que estaba vinculado la Identificación de Usuario;
  7. Usted ha suministrado su información de acceso a otra parte; o
  8. Por cualquier otra razón especificada en estos Términos o cualquier otro acuerdo que la Contraparte tenga con usted.

(m) INFORMACIÓN PRECISA. Al crear y utilizar su Cuenta de Usuario en el Sitio Web, usted acepta: (i) proporcionar información verdadera, precisa, actual y completa sobre usted en cualquier formulario de registro requerido en el Sitio Web (dicha información son los “Datos de Registro”); y (ii) mantener y actualizar rápidamente los Datos de Registro para mantenerlos verdaderos, exactos, actuales y completos. Si usted proporciona cualquier información que sea falsa, imprecisa, no actual o incompleta, o la Contraparte tiene motivos razonables para sospechar que dicha información es falsa, imprecisa, no actual o incompleta, la Contraparte tiene el derecho de suspender o terminar su Cuenta de Usuario y rechazar cualquier uso actual o futuro de su Cuenta de Usuario.

(n) TERMINACIÓN DE CUENTA. Sujeto a los términos de cualquier Contrato de Coexistencia aplicable y su correspondiente carta complementaria, la Contraparte se reserva el derecho de terminar su uso del Servicio En Línea por cualquier razón, incluyendo la inactividad y en cualquier momento sin notificación previa. Usted tiene el derecho de terminar su uso del Servicio En Línea al escribir a la Contraparte a la dirección proporcionada al final de estos Términoslegal@prospera.hn and ots@prosperazede.hn. Cualquier terminación del uso del Servicio En Línea, ya sea iniciada por usted o por la Contraparte, no afectará a ninguno de los derechos y obligaciones suyos o de la Contraparte en virtud de estos Términos que hayan surgido antes de la fecha de vigencia de dicha terminación. Su terminación del Servicio En Línea no efectuará una terminación de cualquier Contrato de Coexistencia aplicable o carta complementaria relacionada.

(o) ERRORES O PREGUNTAS SOBRE PAGOS. En caso de errores o preguntas sobre los Pagos, debe notificar a la Contraparte de inmediato por correo electrónico a ots@prosperazede.hn y legal@prospera.hn o a través del centro de mensajes en línea (si corresponde).

4. CONDUCTA EN EL SITIO WEB, POLÍTICAS DE PUBLICACIÓN Y SITIOS WEB DE TERCEROS

(a) DIRECTRICES DE CONTENIDO CREADO POR EL USUARIO. El uso del Sitio Web por usted, incluido el Blog de la PZ, si lo hubiera, está sujeto a todas las Leyes Aplicables, y usted es el único responsable de cualquier comentario o publicación que deje en el Sitio Web o en el Blog, si lo hubiera. Al publicar o contribuir con información en o para el Sitio Web, o al utilizar de alguna otra manera cualquier servicio de comunicaciones, tablero de mensajes, grupo de noticias u otro servicio interactivo disponible en el Sitio Web, usted acepta que no publicará comentarios, mensajes, enlaces, código u otra información que:

  1. son ilegales, amenazantes, abusivas, acosadoras, difamatorias, engañosas, fraudulentas, agraviantes, invasoras de la privacidad de otros, o incluyen descripciones gráficas de contenido sexual o violento;
  2. victimizar, acosar, degradar o intimidar a un individuo o grupo de individuos por motivos de religión, género, orientación sexual, raza, etnia, edad o discapacidad;
  3. infringir cualquier patente, marca registrada, secreto comercial, derecho de autor, derecho de publicidad, u otro derecho de propiedad exclusiva de cualquier parte;
  4. consiste en publicidad no solicitada, correo electrónico basura o masivo (también conocido como “spam”), cartas en cadena, cualquier otra forma de solicitud no autorizada o cualquier forma de lotería o juego de azar;
  5. contenga cualquier forma de código malicioso, archivos o programas que estén diseñados o destinados a interrumpir, dañar o limitar la funcionalidad de cualquier software, hardware o equipo de telecomunicaciones o que de alguna otra manera causen daño o le permitan obtener acceso no autorizado a cualquier dato u otra información de cualquier tercero;
  6. viola la seguridad, compromete o permite el acceso a áreas seguras, protegidas o inaccesibles de este Sitio Web, o intenta acceder a otra red o servidor a través de su cuenta en este Sitio Web;
  7. se hace pasar por cualquier persona o entidad, incluyendo cualquiera de nuestros empleados o representantes.

(b) SIN RESPALDO. La Contraparte no respalda ni asume ninguna responsabilidad por cualquier material cargado o enviado por los usuarios en o a través de cualquier parte del Sitio Web. ADEMÁS, NO SEREMOS RESPONSABLES EN MODO ALGUNO POR LAS PROMESAS DE TERCEROS EN RELACIÓN CON NUESTRAS OFERTAS O CONTENIDOS NI POR LA ASISTENCIA EN LA REALIZACIÓN DE TRANSACCIONES COMERCIALES CON EL TERCERO A TRAVÉS DE ESTE SITIO WEB, INCLUYENDO SIN LIMITACIÓN EL PROCESAMIENTO DE PEDIDOS.

EN RECONOCIMIENTO DE LA NECESIDAD PRÁCTICA DE DICHO CONTROL Y AUTORIDAD CONJUNTOS DEBIDO A LA FASE DE ORGANIZACIÓN Y DESARROLLO EN LA QUE SE ENCUENTRA OPERANDO LA PZ Y SU CARÁCTER DE “GOBIERNO EMERGENTE”, USTED RENUNCIA Y DESCARGA TODA RECLAMACIÓN DE QUE EL INCUMPLIMIENTO DE UN CONTRATO, EL INCUMPLIMIENTO DE UN DEBER FIDUCIARIO O EL FRAUDE FIDUCIARIO RESULTARÍA O DEBERÍA PRESUMIRSE SOBRE LA BASE DE CUALQUIER CONFLICTO DE INTERESES REAL O APARENTE QUE HAYA SURGIDO O PUEDA SURGIR DE CUALQUIER MODO, YA SEA DIRECTA O INDIRECTAMENTE, DE LA CONTINUACIÓN DEL CONTROL Y LA AUTORIDAD CONJUNTOS SOBRE CUALQUIERA O TODAS LAS ENTIDADES Y PERSONAS RELACIONADAS CON LA CONTRAPARTE.

USTED ACUERDA DEFENDER, INDEMNIZAR Y EXIMIR A LA CONTRAPARTE, INCLUIDAS LAS SUBSIDIARIAS, LOS PROPIETARIOS, LOS DIRECTORES, LOS FUNCIONARIOS, LOS EMPLEADOS Y LOS AGENTES, DE Y CONTRA TODA RECLAMACIÓN, DEMANDA, PLEITO, PROCEDIMIENTO, RESPONSABILIDAD, SENTENCIA, PÉRDIDA, DAÑO, GASTO Y COSTO (INCLUIDOS, SIN LIMITACIÓN, LOS HONORARIOS RAZONABLES DE LOS ABOGADOS) EVALUADOS O INCURRIDOS POR LA CONTRAPARTE, DIRECTA O INDIRECTAMENTE, CON RESPECTO A O QUE SE DERIVEN DE: (I) SU INCUMPLIMIENTO DE ESTOS TÉRMINOS; (II) SU INCUMPLIMIENTO DE LAS OBLIGACIONES CONTRAÍDAS POR USTED EN VIRTUD DE ESTOS TÉRMINOS; (III) SU USO DE LOS DERECHOS CONCEDIDOS EN VIRTUD DEL PRESENTE DOCUMENTO, INCLUYENDO, SIN LIMITACIÓN, CUALQUIER RECLAMACIÓN REALIZADA POR CUALQUIER TERCERO; Y/O (IV) SU VIOLACIÓN DE CUALQUIER DERECHO DE TERCEROS, INCLUYENDO, SIN LIMITACIÓN, CUALQUIER DERECHO DE AUTOR, PROPIEDAD O DERECHO DE PRIVACIDAD. NOS RESERVAMOS EL DERECHO, A NUESTRO CARGO, DE ASUMIR LA DEFENSA Y EL CONTROL EXCLUSIVOS DE CUALQUIER ASUNTO QUE DE OTRO MODO ESTARÍA SUJETO A INDEMNIZACIÓN POR SU PARTE, EN CUYO CASO USTED COOPERARÁ CON NOSOTROS PARA HACER VALER CUALQUIER DEFENSA DISPONIBLE.

LA CONTRAPARTE NO TIENE LA INTENCIÓN DE PROPORCIONAR NINGÚN ASESORAMIENTO DE INVERSIÓN O INFORMACIÓN RELATIVA A SÍ MISMA O A CUALQUIER OTRA CONTRAPARTE IDENTIFICADA EN EL SITIO WEB. NO OBSTANTE, EL SITIO WEB PUEDE, DE VEZ EN CUANDO, CONTENER INFORMACIÓN SOBRE LA SITUACIÓN ACTUAL O FUTURA DE LOS SEGUROS, LA PROPIEDAD DE LOS BIENES O EL VALOR DE TASACIÓN, O LA SITUACIÓN FINANCIERA DE ESTA Y/O CIERTAS OTRAS PERSONAS Y EMPRESAS, INCLUIDOS LOS USUARIOS. LA CONTRAPARTE ADVIERTE QUE EXISTEN VARIOS FACTORES IMPORTANTES QUE PODRÍAN HACER QUE LOS RESULTADOS REALES DIFIERAN MATERIALMENTE DE LOS INDICADOS EN LA INFORMACIÓN QUE USTED PUEDE ENCONTRAR EN EL SITIO WEB. EN CONSECUENCIA, NO PUEDE HABER GARANTÍA DE QUE SE OBTENGAN TALES RESULTADOS INDICADOS. ESTOS FACTORES INCLUYEN, ENTRE OTROS, LAS INICIATIVAS LEGISLATIVAS Y REGLAMENTARIAS RELATIVAS A LA REGLAMENTACIÓN DE LAS EMPRESAS; LAS CONDICIONES POLÍTICAS Y ECONÓMICAS Y LOS DESARROLLOS EN HONDURAS Y EN LOS PAÍSES EXTRANJEROS EN LOS QUE OPERAN LAS EMPRESAS MENCIONADAS EN EL SITIO WEB; LAS CONDICIONES DE LOS MERCADOS FINANCIEROS Y LOS RESULTADOS DE LAS INICIATIVAS DE FINANCIACIÓN; Y LOS CAMBIOS EN LOS PRECIOS DE LOS BIENES INMUEBLES Y LOS PRODUCTOS BÁSICOS Y EN LOS TIPOS DE INTERÉS.

10. 10. TERMINACIÓN DE LA UTILIZACIÓN

a) FUNDAMENTOS PARA LA TERMINACIÓN. Usted acepta que podemos, a nuestra única discreción, terminar o suspender su acceso a todo o parte del Sitio Web con o sin notificación y por cualquier razón, incluyendo, sin limitación, el incumplimiento de estos Términos. Cualquier sospecha de actividad fraudulenta, abusiva o ilegal puede ser motivo para impedirle el acceso a este Sitio Web, y reportarlo a las autoridades competentes, si es necesario. Sin embargo, lo anterior está sujeto a los términos de su Contrato de Coexistencia y la carta complementaria relacionada, si la hubiera.

b) SIN DERECHO A OFERTAS ANTE TERMINACIÓN. Al momento de la terminación e independientemente de la(s) razón(es) que la motivan, su derecho a usar los servicios y ofertas disponibles en este Sitio Web cesará inmediatamente. No seremos responsables ante usted ni ante ningún tercero por ningún reclamo por daños y perjuicios que surjan de cualquier terminación o suspensión o cualquier otra acción tomada por nosotros en relación con ello. La responsabilidad por cualquier cuota no pagada y cualquier licencia de derechos de propiedad intelectual que usted nos haya concedido deberá sobrevivir a cualquier terminación. Sin embargo, lo anterior está sujeto a los términos de su Contrato de Coexistencia y la carta complementaria relacionada, si la hubiera.

11. DISPOSICIONES VARIAS

(a) USO EXTERNO A LA PZ/USO INTERNACIONAL. Aunque este Sitio Web puede ser accesible en todo el mundo, no hacemos ninguna representación de que los materiales de este Sitio Web son apropiados o están disponibles para su uso en lugares fuera de la PZ. Aquellos que decidan acceder a este Sitio Web desde otros lugares lo hacen por su propia iniciativa y bajo su propio riesgo. Si decide acceder a este Sitio Web desde fuera de la PZ, usted es responsable de cumplir con las leyes locales de su jurisdicción, incluyendo, pero no limitándose a los impuestos de los productos comprados por Internet. Cualquier oferta por cualquier producto, servicio y/o información realizada en relación con este Sitio Web es nula donde esté prohibida. Se prohíbe el Acceso al Sitio Web desde jurisdicciones en las que dicho acceso sea ilegal. Además, usted acepta cumplir con todas las leyes aplicables en relación con la transmisión de datos técnicos exportados desde la PZ y la jurisdicción en la que usted reside (si es diferente de la PZ).

(b) LEGISLACIÓN VIGENTE. Este Sitio Web (excluyendo cualquier Sitio Web de terceros) es controlado por la PZ y el GSP desde la Isla de Roatán, Islas de la Bahía, República de Honduras, y la ley promulgada por y aplicable en la PZ deberá prevalecer, tal como el Código de Derecho Consuetudinario de Roatán, §§ 2-3-4-0-1-0-1001 a 2-3-4-0-5-0-5004, sin tener en cuenta los conflictos de principios de las leyes de la misma, todos los cuales se salvan de la derogación y se garantizan como ley imperante en virtud del mandato del artículo 96 de la Constitución de la República de Honduras, el artículo 10.4 del CAFTA-DR, y el artículo 16.4 del Acuerdo para la Promoción y Protección Recíproca de las Inversiones entre Honduras y Kuwait, así como un cierto acuerdo de estabilidad jurídica modificado aprobado por las Resoluciones §§5-1-130-0-0-0-1, 5-1-160-0-0-0-1, con la advertencia de que si la inestabilidad legal o política impide la aplicación directa de la ley de PZ, entonces usted estará obligado contractualmente a regirse por las normas publicadas en https://pzgps.hn en la medida en que lo permita la ley de Delaware (EE.UU.) como si estuviera operando en Delaware (EE.UU.). Usted está de acuerdo y por medio del presente documento se somete a la jurisdicción personal exclusiva y a la sede del Proveedor de Servicios de Arbitraje por defecto de la PZ como se establece en el Estatuto de Arbitraje de Próspera del 2019, §§2-1-37-1-0-0-1 al 2-1-37-8-0-0-64, según sea enmendada de vez en cuando. El Sitio Web y el Servicio En Línea se deberán considerar un sitio web y un servicio pasivo que no da lugar a la jurisdicción personal sobre ninguna Contraparte fuera de la PZ.

(c) SIN DERECHO DE REVENTA. Usted acepta no vender, revender, reproducir, duplicar, distribuir, copiar o utilizar con fines comerciales ninguna parte de este Sitio Web, ni utilizar o acceder a este Sitio Web o a los servicios, productos u ofertas proporcionados por medio de este Sitio Web, más allá de los derechos limitados que se le conceden a usted en virtud de estos Términos.

(d) FUERZA MAYOR. Además de cualquier excusa proporcionada por la ley aplicable, estaremos exentos de responsabilidad por la no entrega o el retraso en la entrega de los productos, servicios y ofertas disponibles a través de nuestro Sitio Web que surjan de cualquier evento más allá de nuestro control razonable, ya sea o no previsible por cualquiera de las partes, incluyendo pero no limitado a: disturbios laborales, guerra, incendio, accidente, clima adverso, incapacidad de asegurar el transporte, acto o regulación gubernamental, y otras causas o eventos más allá de nuestro control razonable, ya sea o no similar a los que se enumeran anteriormente.

(e) CLÁUSULA DE SALVEDAD. Si alguna parte de estos Términos es considerada inválida o inaplicable, esa parte deberá ser interpretada de manera consistente con la ley aplicable para reflejar, en la medida de lo posible, las intenciones originales de las partes, y las porciones restantes deberán permanecer en pleno vigor y efecto.

(f) SIN RENUNCIA. El hecho de que no hagamos cumplir o ejerzamos alguna disposición de estos Términos o derechos relacionados no deberá constituir una renuncia a ese derecho o disposición.

(g) CONTRATO COMPLETO. Su Cuenta vinculada al Servicio En Línea también se regirá por los acuerdos, divulgaciones y otros documentos que se le proporcionen en relación con la apertura de su Cuenta, como pueden ser modificados periódicamente, incluyendo, según corresponda, cualquier Contrato de Coexistencia y carta complementaria relacionada, así como cualquier término publicado específicamente relacionado con el componente del Servicio En Línea al que se accede. Si existe alguna inconsistencia entre dicha documentación y estos Términos, entonces estos Términos deberán prevalecer en la medida de la inconsistencia con la única excepción de cualquier Contrato de Coexistencia aplicable y la carta complementaria relacionada, que deberá prevalecer sobre estos Términos en la medida de la inconsistencia. De lo contrario, estos términos y condiciones constituyen el contrato completo y el entendimiento entre las partes en relación con el tema aquí tratado y reemplaza todos los contratos y entendimientos previos de las partes con respecto a los mismos, con la única excepción de los términos de su Contrato de Coexistencia y la carta complementaria relacionada, si la hubiera, así como los términos publicados que rigen el componente específico de los Servicios En Línea que usted puede comprar, si los hubiere. Estos Términos NO pueden ser alterados, complementados o enmendados por el uso de cualquier otro documento(s). En la medida en que cualquier cosa en o asociada con este Sitio Web esté en conflicto o sea inconsistente con estos Términos, estos Términos tendrán prioridad.

12. PRIVACIDAD. Los datos personales que usted proporcione con respecto a usted mismo serán tratados de acuerdo con la Política de Privacidad de la Contraparte como puede estar vinculada a este Sitio Web (“Política de Privacidad”).

13. DISPONIBILIDAD. La información que la Contraparte publica en el Sitio Web puede contener referencias o referencias cruzadas a productos, programas o servicios de la Contraparte que no necesariamente se anuncian o están disponibles en su área. Dichas referencias no significan que la Contraparte vaya a anunciar cualquiera de esos productos, programas o servicios en su zona en el futuro. Usted deberá ponerse en contacto con la Contraparte para obtener información sobre los productos, programas y servicios que puedan estar disponibles para usted, si los hubiera.

14. INTRANSFERIBILIDAD DE LA CUENTA DE USUARIO. Las Cuentas de Usuario y las Identificaciones de Usuario/Identificaciones de Residentes son intransferibles, y todos los usuarios están obligados a tomar medidas preventivas para prohibir que usuarios no autorizados accedan al Sitio Web con su Identificación de Usuario y su contraseña. Usted no puede ceder estos Términos, en su totalidad o en parte, ni delegar ninguna de sus responsabilidades en virtud del presente documento a ningún tercero. Cualquier intento de cesión o delegación de este tipo no será reconocido por la Contraparte a menos que la Contraparte lo reconozca por escrito. La Contraparte no tiene la obligación de proporcionarle un reconocimiento por escrito. La Contraparte podrá, en cualquier momento y a su entera discreción, ceder estos términos, en su totalidad o en parte, o delegar cualquiera de nuestros derechos y responsabilidades en virtud de estos Términos a cualquier tercero o entidad.

15. COMENTARIOS DE LOS CLIENTES. Agradecemos el envío de comentarios, información o retroalimentación a través del Sitio Web. Al enviar información a través del Sitio Web, usted acepta que la información enviada estará sujeta a la Política de Privacidad de la Contraparte.

16. LA VERSIÓN EN INGLÉS PREVALECE. Estos Términos pueden ser traducidos al español y a otros idiomas; sin embargo, la versión en inglés de estos Términos deberá prevalecer.
